Vinga Nordic AB to acquire Aenigma AB and Idhammar Produktion AB

Vinga Nordic AB has entered into an agreement with Granitor to acquire Aenigma AB and its subsidiary Idhammar Produktion AB. Aenigma and Idhammar are leading providers in Sweden of technical consultancy services within industry, energy, and the built environment, as well as training services in Asset Management.

Through the acquisition, Vinga Nordic strengthens its position in western Sweden, where Aenigma and Idhammar will collaborate with Vinga Nordic’s existing companies. In addition, Vinga Nordic establishes a strong presence in eastern Sweden and the Bergslagen region.

Together, Aenigma and Idhammar employ approximately 100 people and reported revenues of approximately SEK 220 million in 2023. Through its group companies, Vinga Nordic offers a broad range of technical consultancy services, including project management, design management, construction management, inspections, and environmental advisory services. In western Sweden, ViAQ and Karlanders—together comprising just over 60 consultants—are leading providers of project and construction management services, primarily within infrastructure and environmental projects. These are complemented by ViaDesign, with approximately 10 consultants specializing in land and civil design. With the addition of Aenigma and Idhammar,

Vinga Nordic’s total revenue will amount to approximately SEK 350 million, with around 170 employees. Revenue is expected to continue growing organically through the efforts of our skilled entrepreneurs and employees, alongside continued acquisitions of companies that align with our vision.

– Vinga Nordic has the ambition to become a nationally leading player within specialized technical consultancy services. We warmly welcome Aenigma and Idhammar and look forward with confidence to identifying opportunities for collaboration with our existing companies, particularly within infrastructure and environmental services, says Petter Håkanson, Chairman of Vinga Nordic.

Aenigma and Idhammar further strengthen Vinga Nordic’s profile through their high level of expertise in project management, design, and Asset Management, as well as their long-standing relationships with both private and public clients within industry, energy, and the built environment.

– I look forward to continuing to lead Aenigma as part of Vinga Nordic. Taking this step now means shifting into the next gear for us. I see great opportunities for continued growth and development ahead, while we continue to deliver our services at the same high level as today, says Jonas Bergmark, CEO of Aenigma AB.

Aenigma and Idhammar will continue to operate as they do today, maintaining the same offerings, company names, and organizational structures. Their operations will retain a strong emphasis on decentralized decision-making and entrepreneurship, while also leveraging the synergies made possible by being part of a closely collaborating group.

The transaction is subject to approval by the Swedish Inspectorate of Strategic Products (ISP) in accordance with the Act on the Screening of Foreign Direct Investments and is expected to be completed in mid-May.
